Sale of an organized part of the company
The Board of OPONEO.PL SA announces that on 21st of March 2016 OPONEO.PL SA ("Seller") signed with based in the United States ("Buyer") Aspencore LLC., agreement for the sale of an organized part of the company operating under the name Elektroda.pl. Sold company consists of an organized set of tangible and intangible assets for managing Internet portal, which provides information in the field of electronics and discussion forums, including in particular:
a) website www.elektroda.pl, b) accounts on social networks, c) intangible assets, d) tangible assets, e) rights and obligations under the contracts; f) employees.
The selling price specified in the above-mentioned agreement is 4 200 000 USD. Part of the money in the amount of 3 450 000 USD will be paid within 15 days of signing the contract, and the remainder of the price in the amount of 750 000 USD 16 months after the signing of the above-mentioned agreement. Under the agreement, all rights to the organized part of the enterprise pass to the Buyer upon the payment of the amount of USD 3 450 000.
There are no links between the issuer, people managing and supervising OPONEO.PL SA, and the buyer.
