Merger of OPONEO.PL S.A. and OPONEO BRANDHOUSE Sp. z o.o. registered by the Registry Court

Extraordinary General Meeting of Shareholders of OPONEO.PL S.A., with its registered office in Bydgoszcz, which was held on 24 September 2019, the Management Board of OPONEO.PL S.A. informs that on 14 January 2020 it was notified about the registration of the merger of OPONEO.PL S.A. with its registered office in Bydgoszcz with OPONEO BRANDHOUSE Spółka z ograniczoną odpowiedzialnością [limited liability company] with its registered office in Bydgoszcz, carried out by the District Court in Bydgoszcz, 13th Commercial Division of the National Court Register on 13 January 2020.

 

The merger took place on the basis of the Merger Plan of 17 June 2019 by transferring all the assets of the company under the name OPONEO BRANDHOUSE Spółka z ograniczoną odpowiedzialnością with its registered office in Bydgoszcz to the company under the name OPONEO.PL S.A. with its registered office in Bydgoszcz.

 

On the day of the companies’ merger, OPONEO.PL S.A. with its registered office in Bydgoszcz, as the acquiring company, entered into the the rights and obligations of OPONEO BRANDHOUSE Spółka z ograniczoną odpowiedzialnością with its registered office in Bydgoszcz, being the acquired company, which was dissolved without going into liquidation on the day the merger was entered in the Register of Entrepreneurs of the National Court Register.
