Invitation to tender for the sale of shares
The Management Board of OPONEO.PL S.A. with its registered office in Bydgoszcz (hereinafter: the “Company”), with reference to current report no. 11/2023 of 17 May 2023, informing about the resolution of the Ordinary General Meeting of the Company on the approval of the Company's Buy-Back Programme of Treasury Shares and with reference to current report no. 16/2023 of 7 June 2023, informing about the adoption by the Management Board of the Regulations on the Buy-Back Programme of Treasury Shares of OPONEO.PL S.A., announces that on 12 June 2023 the Management Board decided to invite tenders for the sale of the Company's shares (hereinafter: the “Invitation”), on the following terms and conditions:
1. The subject of the Invitation covers 330,000 dematerialised ordinary bearer shares with a par value of PLN 1.00 per share, issued by the Company and registered by the National Securities Depository [Krajowy Depozyt Papierów Wartościowych S.A.] under ISIN code PLOPNPL00013, which represent approximately 2.37% of the Company's share capital and authorise to exercise approximately 2.37% of the total number of votes at the General Meeting of the Company (hereinafter: the “Shares”).
2. The proposed purchase price of the Shares is PLN 45.00 per Share.
3. Schedule of the Invitation:
- Date of publication of the Invitation: 12 June 2023
- Opening date of the acceptance of tenders for sale: 13 June 2023
- Closing date of the acceptance of tenders for sale: 19 June 2023 (by 05:00 p.m. CET),
- Expected date of transfer of the ownership of shares and settlement of the transaction: 22 June 2023
4. The intermediary in the execution and settlement of the Invitation is Trigon Dom Maklerski S.A. (hereinafter: the “Brokerage House”).
