Fulfilment of the condition precedent stipulated in the agreement for the sale of shares in Rotopino.pl S.A. between TIM S.A. and OPONEO.PL S.A. companies

With reference to the current report No. 26/2020 of 27 November 2020, the Management Board of OPONEO.PL S.A. with its registered office in Bydgoszcz informs that on 24 December 2020 it received information concerning the issuance on 23 December 2020 of decision No. DKK-244/2020 by the President of the Office for Competition and Consumer Protection, pursuant to which the President of the Office for Competition and Consumer Protection approved the concentration involving the takeover of control over Rotopino.pl S.A. with its registered office in Bydgoszcz by OPONEO.PL S.A. with its registered office in Bydgoszcz.

 

In connection with the foregoing, the Company hereby informs of the fulfilment of the condition precedent arising from the agreement of 26 November 2020 on the sale of shares in Rotopino.pl .S.A. with its registered office in Bydgoszcz between TIM S.A. with its registered office in Wrocław and OPONEO.PL S.A. with its registered office in Bydgoszcz.

 

The agreement transferring the ownership of Rotopino.pl S.A. shares will be concluded between the companies within 10 (in words: ten) business days from the day of issuing the consent by the President of the Office for Competition and Consumer Protection.

 

Information on the conclusion of the aforementioned agreement will be made public as soon as it has been concluded.
