Decision of the President of the Office for Competition and Consumer Protection (UOKiK) concerning the consent to the concentration

The Management Board of OPONEO.PL S.A. with its registered office in Bydgoszcz hereby informs that on 24 November 2020 it received a decision of the President of the Office for Competition and Consumer Protection (“the UOKiK President”) of 19 November 2020 in which, following the anti-trust procedure, the UOKiK President granted its consent to the concentration consisting in the establishment by OPONEO.PL S.A. with its registered office in Bydgoszcz and Metalkas Sp. z o.o. with its registered office in Bydgoszcz of a joint undertaking in the form of the joint-stock company for the purpose of selling metal ladders and racks via the online shop.

 

In connection with the above decision of the UOKiK President,

OPONEO.PL S.A.:

• Delegates relevant persons to act in the capacity of members of the Management Board and the Supervisory Board of LAM spółka akcyjna company;
• It will provide a cash contribution in the total amount of PLN 1,000,000.00 (in words: one million 00/100) to the newly established company;
• It will make available office space in Bydgoszcz at 17, Podleśna Street;
• It will be responsible for providing support in the areas of online shop organisation, IT infrastructure and software, online marketing, maintenance and development of the website through which sale will be conducted and customer service.

Metalkas Sp. z o.o.:

 

• Delegates relevant persons to act in the capacity of members of the Management Board and the Supervisory Board of LAM spółka akcyjna company;
• It will provide a cash contribution in the total amount of PLN 1,000,000.00 (in words: one million 00/100) to the newly established company;
• It will make available office and storage space on the premises of the Metalkas plant in Lisi Ogon at 23, Szczecińska street;
• It will be responsible for providing support in the areas of warehousing, procurement logistics, deliveries and returns logistics service.
• It will supply Metalkas products for the purpose of sale under market terms and conditions.

In the fiscal year 2019/2020, Metalkas Sp. z o.o. generated revenue at a level of PLN 248 million.
